FRELY

Terms of Service

1. Operator and acceptance

HU WENTAO, trading as Frely, operates the Frely software service as an individual merchant in Hong Kong. The service uses the Frely brand and the domain frely.cloud. The payment record identifies the merchant for a purchase. Questions about these Terms may be sent to [email protected].

An account, API request, capability purchase, plan purchase, credit purchase, or other use of Frely forms acceptance of these Terms. A person who does not accept these Terms must not use the Service.

2. Service

Frely provides software infrastructure for capability services. The Service can provide account access, API keys, teams, plans, prepaid credits, model access, capability access, usage records, billing records, and task results. A capability can use a prompt, Skill, agent, workflow, tool, API, model, or creator-operated service.

A capability contract defines its task, inputs, outputs, limits, price, and product terms. A capability result does not include a creator's private source code, private prompts, private Skill files, credentials, or private workflow unless the product contract states that delivery.

Download-install items.A download-install Prompt or Skill delivers its files to the buyer's own device. The free part is visible to everyone who installs it, and the paid part is delivered while the buyer holds a valid pass or subscription, or a buy-out of that version. A buy-out covers the version current at purchase; later versions need a subscription or another purchase. A subscription renews each month until cancelled; cancelling stops the next renewal and gives no refund for the current period. Frely cannot recall a copy already installed on a device. A creator who needs content to stay private publishes it as a hosted Agent on a paid Creator plan instead. A creator is responsible for the right to distribute the files and for naming the original source.

3. Eligibility and accounts

The Service is for users aged 18 or older. A user must provide accurate account information and maintain control of account credentials, API keys, devices, and sessions.

A user is responsible for activity performed with the user's account or API credentials. A suspected compromise must be reported to [email protected].

4. Purchases, payments, subscriptions, and taxes

Prices, currency, product scope, included units, validity period, refund rule, and other commercial terms appear in the product or checkout flow. Credit top-ups are one-time charges. Credit you buy cannot be withdrawn, cashed out, or transferred to another person or account. Creators earn sales in Credit. On commercial plans, a creator can apply to receive eligible sales earnings as a cash payout, subject to review, identity checks, and the payout terms shown when applying. Creator and Creator Plus plans are subscriptions that renew automatically.

Automatic renewal.By completing checkout for a Creator or Creator Plus plan, the user authorizes Frely, through Waffo Pancake, to charge the payment method saved at checkout at the start of each monthly billing period at the then-current plan price shown at checkout, plus applicable taxes, until the subscription is cancelled. If a plan includes an introductory trial, the checkout shows when the first charge occurs, and the first charge follows the trial unless the subscription is cancelled before the trial ends.

Cancellation.A user can cancel renewal at any time from the workspace. Cancellation stops future charges. The plan and its entitlements remain available until the end of the billing period already paid for, and then end. Cancellation does not refund a period that has already been charged, except as stated in the Refunds section or required by applicable law. If a renewal payment fails, Frely can suspend or end the plan's entitlements.

Price changes.A change to a plan price applies from a later billing period and does not alter a period already charged. A user who does not want the new price can cancel renewal before the next period begins.

Waffo Pancake acts as the Merchant of Record and payment processor for hosted checkout transactions. Waffo Pancake handles payment collection and payment-method data under its terms and privacy practices. Frely receives transaction metadata and fulfillment status. Frely does not require a full payment-card number for its own product records.

Taxes can form part of the checkout amount or payment record. The checkout record controls the charged amount. A user is responsible for taxes or duties that remain the user's responsibility under applicable law.

5. Refunds

Refund eligibility forms part of the product terms shown before purchase. Some products permit a refund for an unused grant before the product refund deadline. A consumed grant, used capability unit, used credit, completed service result, or released entitlement is not refundable unless the product terms or applicable law require a refund.

A duplicate charge, payment error, fulfillment error, or Frely service failure can support a refund review. A refund request must identify the account and purchase and must be sent to [email protected]. An approved payment refund uses the payment-provider process for the purchase. A local credit reversal does not constitute a cash refund unless the payment provider confirms the refund.

6. AI and third-party capability providers

Frely can send inputs to a model or capability provider needed for a requested task. Providers can include OpenAI, Anthropic, Google, creator-operated services, and other providers identified by a capability or model configuration. Provider availability, output, limits, and policies can affect a result.

Model output can contain errors. A user must review output before use in a safety-critical, legal, financial, medical, security, production, or other high-impact setting. Frely does not guarantee model accuracy.

7. User content and intellectual property

A user retains rights in content that the user owns. The user grants Frely and the selected service providers a license to process submitted content for service execution, security, billing, support, and service operation.

A user must hold the rights and permissions needed for submitted content. Rights in model output, capability output, third-party content, open-source software, and creator assets remain subject to the terms that apply to those materials.

Frely software, branding, service contracts, private creator implementations, and platform materials remain protected by their applicable rights.

8. Acceptable use

A user must not use the Service for:

9. Privacy and data

The Frely Privacy Policy describes personal-data collection, use, sharing, analytics, service-provider processing, retention, and user rights. A user must not submit personal data or confidential material without authority to submit it and authority for the selected service providers to process it.

10. Availability, changes, and suspension

Frely can change a capability, model, provider, price for a new purchase, feature, or service boundary. A completed purchase keeps the commercial facts frozen by its purchase record unless law or the product contract requires another treatment.

Frely can suspend access for security risk, fraud, abuse, payment failure, legal requirements, or a material breach of these Terms. Suspension does not authorize deletion or alteration of immutable billing, security, or audit records.

11. Disclaimers and liability

The Service is provided on an "as is" and "as available" basis to the extent permitted by law. Frely disclaims warranties that cannot be established from a product contract, including uninterrupted availability, error-free output, fitness for a particular purpose, and accuracy of model output.

Frely is not liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages to the extent permitted by law. Frely's aggregate liability for a claim arising from a paid product is limited to the amount paid for that product during the twelve months before the event giving rise to the claim, except where applicable law prohibits that limit.

12. Governing law and disputes

These Terms are governed by the laws of Hong Kong Special Administrative Region, without prejudice to mandatory consumer rights that apply to a user. A dispute should be raised with [email protected] before court proceedings. A court with jurisdiction under applicable law may hear an unresolved dispute.

13. Changes to these Terms

A material Terms change will receive a new effective date and version on this page. Continued Service use after the effective date forms acceptance of the revised Terms, subject to rights provided by applicable law.
